Terms of Service
Effective date: [23-06-2026]
1. Agreement
These Terms of Service ("Terms") are a contract between you and SPAL SOLUTIONS, a company registered in Nigeria (RC-9589939) with registered office at 3RD FLOOR, OKOI ARIKPO HOUSE, 5, IDOWU TAYLOR STREET, LAGOS, NIGERIA ("SPAL", "we", "us"), governing use of the VettamHR platform, apps, and website at vettamhr.com (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.
There are two kinds of users: Businesses (subscribing employers) and Workers (individuals with records on the platform). Section 12 applies specifically to Workers.
2. What VettamHR is (and is not)
VettamHR provides:
- Tools for a Business to onboard staff with the worker's confirmed consent (currently by email)
- Storage of employment records keyed to a worker's NIN and phone number, with the NIN encrypted at rest
- Performance review cycles, dispute mediation tools, and payment record-keeping
- Portable worker records that, with consent, persist across employers
VettamHR is not:
- An identity verification service. NIN details are checked and entered by the Business at onboarding. SPAL does not independently verify identity documents against government or banking databases and makes no warranty as to the accuracy of identity information entered by a Business. Even if SPAL integrates or implements automated or API-driven identity verification features, the Business remains strictly responsible for conducting its own due diligence and verifying all workers prior to onboarding.
- A background check, credit check, or criminal records service
- An employer, recruiter, or party to any employment relationship
- A provider of legal, HR, or employment-law advice
- A bank or licensed payment institution (subscription payments are processed by Paystack)
3. Business accounts
- You must provide accurate business details, including your CAC registration where requested, and keep them current.
- You are responsible for all activity under your account and for keeping credentials confidential.
- Accounts are for one legal entity; you may not resell access.
4. Business obligations regarding worker data
By entering a worker's data into VettamHR, the Business represents and warrants that it:
- Has sighted and checked the worker's NIN documents and entered the details accurately;
- Has informed the worker what data will be stored and why, and enters data only for workers who complete VettamHR's consent confirmation step;
- Has a lawful basis under the Nigeria Data Protection Act 2023 for its own collection and use of the worker's data;
- Will submit only truthful employment records and reviews, made in good faith;
- Will not use the Service to blacklist, defame, harass, or discriminate against any worker.
The Business indemnifies SPAL against claims arising from inaccurate identity data it entered, records or reviews it submitted, or its breach of data protection or employment law.
5. Subscriptions, trials, and payment
- Plans: Basic ₦20,000/month (up to 10 employees), Professional ₦35,000/month (up to 50), Enterprise ₦50,000/month (unlimited). Prepaid terms: 6-month at ₦110,000 / ₦200,000 / ₦290,000 and annual at ₦220,000 / ₦400,000 / ₦580,000 respectively.
- New Businesses receive a 30-day free trial. A valid payment card is required at signup. No charge is made until the trial ends; cancelling before the end of the trial incurs no charge. The first billing occurs automatically when the trial ends.
- Founding member price lock: the first 25 Businesses to commence a paid subscription are founding members. They subscribe at the discounted founding rates presented during signup and keep those rates for as long as their subscription remains continuously active. The lock ends if the subscription is cancelled or lapses; resubscription is at then-current prices.
- Payments are processed by Paystack. Subscriptions renew monthly until cancelled.
- Upgrades and downgrades take effect from the next billing cycle.
- All prices are inclusive of VAT where applicable.
- Refunds: cancelling stops future charges. Fees already paid, including prepaid 6-month and annual terms, are non-refundable; access continues to the end of the paid period.
- We may change prices with at least 30 days' notice; changes apply from your next billing cycle. Price changes do not apply to active founding member subscriptions, per the price lock above.
6. Acceptable use
You must not:
- Enter data about a person without their knowledge and completion of the consent confirmation step
- Use the Service to make hiring blacklists or share records outside the platform's consent flows
- Attempt to access another Business's data, probe or breach security, or reverse-engineer the Service
- Use the Service for unlawful purposes or upload malicious code
- Misrepresent your identity or business
We may suspend or terminate accounts that breach this section.
7. Reviews and disputes
- Reviews submitted by a Business become part of the worker's record and are visible to the worker.
- Misconduct records: a Business may record a documented misconduct finding (e.g. theft, fraud) only in good faith and with supporting basis. The worker is notified and may challenge the finding through the dispute process before it becomes final. Misconduct findings that survive mediation (or go unchallenged after notice within 30 days) may be retained in identifiable form notwithstanding a later deletion request, as set out in the Privacy Policy. Bad-faith or unsupported misconduct entries are a material breach of these Terms.
- Workers may dispute a review or record. SPAL provides a mediation channel in which an administrator communicates separately with the worker and the Business and issues a platform-level resolution (e.g. amending or annotating a record).
- Dispute resolution on VettamHR is an internal platform process. It is not arbitration, adjudication, or legal proceedings, and does not affect any party's legal rights under Nigerian employment or other law.
8. Data on termination
- If a Business cancels, its account data is handled per the Privacy Policy retention rules. Employment and payment records are retained for a minimum of 10 years for accounting and legal purposes, in anonymised form where a worker has exercised deletion rights (see Privacy Policy, Section 10).
- Worker records do not belong to the Business. Employment history contributed while the subscription was active remains part of the worker's consented record.
9. Intellectual property
The Service, including software, design, and branding, is owned by SPAL SOLUTIONS. You receive a limited, non-exclusive, non-transferable right to use it while these Terms are in force. You retain ownership of data you submit and grant SPAL a licence to host and process it to provide the Service.
10. Service availability and changes
The Service is provided on an "as is" and "as available" basis. We aim for high availability but do not guarantee uninterrupted service. We may modify features with reasonable notice of material changes. Beta or "coming soon" features (including payroll) may change or be withdrawn.
11. Liability
To the maximum extent permitted by Nigerian law:
- SPAL IS NOT LIABLE FOR ANY DECISION (INCLUDING HIRING OR ONBOARDING DECISIONS) MADE BY A BUSINESS OR ANY PERSON IN RELIANCE ON RECORDS, REVIEWS, NOTIFICATIONS, OR IDENTITY INFORMATION ON THE SERVICE;
- SPAL'S TOTAL AGGREGATE LIABILITY TO A BUSINESS FOR ANY AND ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY THAT BUSINESS TO SPAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY;
- NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR LOSS OF/CORRUPTION OF DATA;
- THE BUSINESS AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SPAL AGAINST ANY CLAIMS, DAMAGES, OR DEMANDS BROUGHT BY A WORKER OR THIRD PARTY RESULTING FROM THE BUSINESS'S FAILURE TO INDEPENDENTLY VERIFY WORKER IDENTITIES OR COMPLY WITH APPLICABLE LABOUR AND DATA PROTECTION LAWS;
- NOTHING IN THIS SECTION 11 EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED UNDER NIGERIAN LAW (INCLUDING MANDATORY PROVISIONS OF THE NIGERIA DATA PROTECTION ACT 2023 AND THE FEDERAL COMPETITION AND CONSUMER PROTECTION ACT 2019);
12. Worker terms
If you are a Worker:
- Your record is created only after you confirm your consent (currently via email). You may view your profile, employment history, and reviews in the staff app.
- You may raise disputes in-app and exercise your NDPA rights (access, correction, deletion, withdrawal of consent) as set out in the Privacy Policy.
- Use of the staff app is free.
- You agree not to submit false information or misuse the dispute process.
13. Termination
You may cancel at any time in your account settings; access continues to the end of the paid period. We may suspend or terminate for material breach, unlawful use, or non-payment, with notice where practicable.
14. General
- Governing law: These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by sole-arbitrator arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Mediation Act 2023. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties. Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction in Lagos State.
- SPAL reserves the right to modify these Terms at any time. For material changes, SPAL will provide at least fourteen (14) days’ prior notice via email or a conspicuous notice on the Service. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. Non-material changes shall take effect immediately upon posting.
- If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if necessary, and the remaining provisions shall remain in full force and effect.
- These Terms, together with the Privacy Policy and any applicable order form, constitute the entire agreement between SPAL and the Business regarding the Service and supersede all prior agreements, representations, or understandings.
